Job Description

This is an exciting role for a mission-aligned corporate attorney, interested in being part of a social-impact brand and technology platform.

You are passionate about promoting health and happiness, in individuals and in societies, and the role digital solutions can play in amplifying access to such outcomes.

You are also excited about partnering with other CXO functions in order to lead legal initiatives across verticals, and the company at large.

Yours will be the legal voice of the brand, inspiring policy, assessing evolution opportunities with emerging technologies, leading teams, enabling compliance at all stages of product and business development, and owning communications under your function.

Seniority Level: Executive. Reports to the CEO.
Employment: (Founding/early) Member, meaning that you, with the CEO, will be responsible for building internal infrastructure from the ground up under your vertical.

Job Functions: In-house general counsel

Job Duties and Responsibilities (including but not limited to)

  • Define the business’ legal strategy.

  • Build our core legal processes as well as lay the groundwork for building and scaling the Company’s legal organization.

  • Build a legal organization with best-in-class data privacy, regulation, and risk management in mind.

  • Advise on and actively manage business and product teams on legal matters regarding current and future products, new business lines, domestic and international expansion.

  • Advise on and actively manage compliance, employment and contract matters.

  • Manage outside counsel relationships on legal matters pertaining to corporate law, wellness, commerce, and technology compliance, litigation, securities, etc.

  • Understand and potentially influence the regulatory landscape for the future of care practices, commerce and technology.

Responsibilities in detail (including but not limited to)

Multi-vertical legal strategy, implementation, and filings inclusive of all legal needs of the business, including but not limited to:

  • Business entity strategy, management, filings, and compliance; General corporate governance;

  • Intellectual Property, NDAs: filings, infringement, requirements;

  • Business tax strategy, management, filings, and compliance; optimization (capitalizing on the equity advantages and tax credits of emerging growth businesses);

  • Financing vehicles (convertible notes, SAFEs, etc), terms sheets, valuations, tax implications, financial risk and compliance; securities management;

  • Commerce, sales, and digital currencies;

  • Technology and digital products;

  • Employee contracts and compensation;

  • Conflicts of interest law;

  • Privacy policies and Terms and Conditions;

  • Cyber security and data management policies: gathering, storing, and sharing. Compliance with CCPA, GDPR… and HIPAA, FDA…;

  • Litigation as required;

  • Compliance with health, commerce and technology standards as needed.

Skills and Abilities

  • Ability to manage the responsibilities of the role, including the management and oversight of in-house staff, vendors and other third-parties, and cooperation with the Board.

  • Resourceful. Taking on complex problems outside the scope of your past expertise. You know how to work with business leaders to unblock and de-risk new opportunities.

Education and Experience

  • Practicing attorney with 15+ years of experience in a law firm and/or in-house legal department of a technology company.

  • Experience with business law, intellectual property law, technology and cyber law, labor law, commerce laws, securities law, and litigation.

  • Experience in health, education, human, and/or social disciplines preferred.

  • Flexibility, willingness to work on a broad variety of legal matters.

  • High integrity, well-organized, and able to manage numerous projects simultaneously.

  • Ability to thrive in a fast-paced environment.

  • New York, Delaware, and Patent Bar license preferred.

  • Experience with internationalization preferred.

  • Tech start-up experience preferred.
